Governance Review 2011 Recommendations
Following the Motion that was passed at the AGM on 6 December 2010, a Governance Advisory Group was formed with the following members: Luke Johnson (Chair), David Archer, Allan Bosley, Naaz Coker, Jessica Crowe, Jackie Elliman, Keith Horsfall, Ann Packard, David Phillips and Bob Porrer. Members of the GAG have a breadth of experience and detailed knowledge of governance in not-for-profit and membership organisations. The Governance Advisory Group made its recommendations based on: consultation with the Fellowship which took place during May and June, research, best practice codes as well as the considerable expertise and experience within its own ranks.
Our Governance Vision is: "To create an accountable,
transparent and inclusive governance culture at the RSA, which is
supported by a genuinely representative structure and which supports the
directions, strategy, vision and aims of the RSA."
The final
recommendations reflect comments made by Fellows during the
consultation. In summary we are recommending a move towards a majority
of elected Trustees; a threshold of 200 Fellows to table a resolution
and 500 Fellows to call a SGM coupled with a mechanism whereby Fellows
will be able to communicate with other Fellows when they want to table a
resolution or call a SGM and a more integrated and flexible approach to
regional/national structures.
